Limitation of Liability

Indemnification

Dispute Resolution; Governing Law

Informal Resolution

Injunctive Relief

Notwithstanding the foregoing, Built Kindly may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect our confidential information or intellectual property and may do so without the necessity of posting a bond or other security or proof of actual damages.

Governing Law and Venue

These Terms shall be governed by and construed under the laws of the Commonwealth of Pennsylvania, without regard to any conflicts of laws rules. The state courts in Bucks County, Pennsylvania and the federal district court in the Eastern District of Pennsylvania, Philadelphia, Pennsylvania shall have exclusive jurisdiction over any disputes arising out of these Terms. If Built Kindly prevails in any action, suit, or proceeding instituted by you that arises out of or relates to these Terms, Built Kindly shall be entitled to recover from you its reasonable attorneys' and professionals' fees and costs in addition to any other relief awarded. Built Kindly's right to the foregoing attorneys' and professionals' fees and costs shall not merge with but shall survive the entry of judgment and shall extend to appeals and collections.

Compliance; Export; Sanctions

Compliance

You will comply with all applicable laws in connection with this Agreement, including consumer protection, anti-spam, and anti-corruption laws.

Export

You represent that you are not located in, under the control of, or a national or resident of any country or person subject to U.S. or other applicable sanctions. You agree not to export or re-export the Site except in compliance with applicable export control and sanctions laws.

Notices

Notices to You

We may provide notices to you by email or posting on the Site. You are responsible for periodically checking the Site for updated Terms.

Notices to Us

Legal notices to Built Kindly must be in writing and delivered to us by email with receipt confirmation, certified mail/return receipt requested, or reputable overnight courier with tracking to the address below, as may be updated by Built Kindly in writing in accordance with this section. Notices are effective upon receipt.

Miscellaneous

Severability

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be deemed modified to the minimum extent necessary to make it enforceable.

No Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce any such provision in the future.

Entire Agreement

These Terms, together with our Privacy Policy, Licensing Agreement, and any additional terms presented to you for specific features, constitute the entire agreement between you and us regarding the Site and supersede prior agreements on the same subject.
